Vail Resorts Completes Peak Resorts Buyout

) said Tuesday that it has completed the acquisition of Peak Resorts ( SKIS ) for $11 per Peak Resorts ( SKIS

) share, adding 17 US ski areas to its network of resorts.
Peak's shares are set to be delisted from Nasdaq effective the same day. With the merger, Vail said it plans to invest about $15 million over the next two years to upgrade the Peak resorts. Vail also estimates its annual ongoing capital expenditures to increase by about $10 million due to the additional assets.

) common shareholders will be entitled to receive $11.00 per share in cash at the closing of the acquisition. The transaction is expected to close on or about September 24, 2019.

 

According to the final voting results, approximately 89% of the Company's outstanding shares, as of the close of business on August 19, 2019, the record date, voted in favor of the merger agreement, assuming the conversion of the shares of Series A preferred stock. No shareholder as of the record date has filed with the Company, before or at the Special Meeting, a written objection to the merger that was approved at the Special Meeting.
